Terms and Conditions for Content Contributors (Fixers)

Please read these Terms and Conditions carefully before submitting any video content to https://www.mrfix.com (referred to as “MrFix” or “the Company”). By checking the agreement box and uploading your video, you are agreeing to be bound by these terms, which govern the relationship between you (“Contributor” or “You”) and MrFix.

1. Confirmation of Ownership and Rights

1.1 Content Warranty

By checking the agreement box, you hereby warrant and confirm that you are the sole and exclusive creator, author, and copyright holder of the video content (“the Video”) being uploaded. You confirm that the Video is your original work and does not infringe upon the intellectual property rights, privacy rights, or publicity rights of any third party.

1.2 Required Permissions

You warrant that you have obtained all necessary permissions, licenses, and releases (including, but not limited to, those concerning music, images, and any recognizable persons or property) required for the worldwide assignment of rights to MrFix as described herein.

2. Irrevocable Assignment of Copyright and Licensing

2.1 Complete Copyright Transfer

If the Video is selected and subsequently published by MrFix, you agree to, and hereby do, transfer, convey, and irrevocably assign to MrFix all right, title, and interest in and to the entire copyright in the Video, including all rights of renewal and extension of copyright, throughout the world.

2.2 Perpetual and Worldwide Rights

This assignment includes, but is not limited to, the perpetual, royalty-free, and worldwide right for MrFix to:

  • Use, Reproduce, and Distribute the Video in any and all physical or digital media, formats, and channels, whether now known or hereafter devised.

  • Commercialize and Sell Access to the Video through paid subscriptions, pay-per-view, bundled packages, or any other monetization methods.

  • Modify, Edit, and Adapt the Video, including the right to create derivative works, use excerpts, and incorporate the Video into compilations, promotional materials, or other content created by MrFix.

  • Display and Publish the Video on the https://www.mrfix.com website, its affiliated platforms, social media, and third-party partner sites.

2.3 Permanent Waiver

You acknowledge that this transfer of copyright is permanent, irrevocable, and unconditional upon publication of the Video by MrFix.

3. Compensation and Payment

3.1 Initial Payment Upon Publication

If your Video is approved and published by MrFix, you will receive an agreed-upon, one-time payment as full and final consideration for the assignment of rights described in Section 2. The amount and method of this payment will be communicated to you prior to the final decision to publish.

3.2 Waiver of Future Compensation

By accepting the initial payment, you expressly waive all claims to any future compensation, royalties, or residuals derived from the commercial exploitation, distribution, modification, or use of the Video by MrFix, its successors, or assigns.

3.3 Residual Payments (If Offered)

You understand that MrFix may, at its sole and absolute discretion, choose to offer residual payments (e.g., revenue sharing) for the continued performance of the Video. You acknowledge that any offer of residual payment is a voluntary gesture by MrFix, is not guaranteed by these Terms, and does not alter the permanent, irrevocable assignment of copyright described in Section 2.

3.4 Account Creation

Upon a decision by MrFix to retain and publish your Video, an account will be created for you on the https://www.mrfix.com platform, and the agreed-upon payment will be initiated.

4. Indemnification

You agree to indemnify, defend, and hold harmless https://www.mrfix.com, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of any representation or warranty made in these Terms; (b) the publication or use of the Video by MrFix; or (c) any claim that the Video infringes upon the rights of any third party.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

By checking the box and submitting your video, you acknowledge that you have read, understand, and agree to all of the above terms and conditions.
